VINE & BRANCH ART

Participant Agreement, Assumption of Risk, Release of Liability, and Indemnity

This Participant Agreement (“Agreement”) is entered into by and between Connect Well Company, LLC, doing business as Vine & Branch Art (“Company,” “we,” “us”), and the undersigned participant (“Participant,” “you”).

2. Participant Acknowledgments
You understand and agree that participation in the retreat may include activities such as:

  • Art instruction and workshops (watercolor/ink/mixed media)

  • Movement between rooms/areas, outdoor time, walking on uneven surfaces

  • Use of art tools/materials (scissors, blades, heat tools, solvents, adhesives, pigments)

  • Shared spaces (stairs, bathrooms, walkways), and group settings

  • Wellness practices (optional yoga, meditation, walking, biking, hiking, swimming, etc.)

  • Cooking or cocktail experiences

  • Bonfire gatherings

3. Payment Terms (INITIAL REQUIRED)

By enrolling in the Vine & Branch Art Retreat, I agree to one of the following payment options:

☐    Option A: Paid in Full - Full payment is due at the time of booking.

☐    Option B: Two-Payment Plan

50% due at booking
Remaining 50% due 30 days prior to the retreat start date

All payments must be completed before arrival. Failure to complete payment may result in forfeiture of my reservation. Prices are non-negotiable and, except as permitted under the Cancellation / Refund / Transfer Policy (Section 13 below), non-transferable.

4. Assumption of Risk
You voluntarily assume all risks of injury, illness, property loss, or other harm that may occur during or related to the retreat, including but not limited to: slips, trips, falls, allergic reactions, cuts/burns, food-related issues, communicable illnesses, or accidents occurring at the venue or during retreat-related activities—whether caused by you, other participants, the venue, or circumstances beyond our control.

5. Health & Medical Disclosure; Fitness to Participate
You represent that you are physically and mentally able to participate. You are responsible for managing your own medical needs, medications, allergies, and dietary restrictions. You agree to notify us in writing before the retreat if you have any condition we should reasonably be aware of for safety purposes.

6. Emergency Medical Authorization
If you are injured or become ill and you are unable to communicate, you authorize the Company to obtain reasonable emergency assistance for you (including calling 911). You understand you are solely responsible for any medical costs incurred.

7. Accessibility / ADA / Accommodation Disclosure
We strive to create a welcoming environment; however, we cannot guarantee that retreat venues, lodging, transportation, outdoor areas, or third-party facilities used during the retreat will meet ADA standards or otherwise be fully accessible.

If you require accommodations, you must notify us in writing at least ____ days before the retreat. We will attempt to assist with reasonable accommodations within our control, but you understand that third-party venue limitations may prevent full accommodation.

8. Release of Liability (INITIAL REQUIRED)

To the fullest extent permitted by law, you release and forever discharge the Company (Connect Well Company, LLC d/b/a Vine & Branch Art), its members, managers, employees, contractors, volunteers, co-hosts, instructors, agents, successors, and assigns (collectively, “Released Parties”) from any and all claims, demands, damages, losses, liabilities, costs, or causes of action arising out of or related to:

(a) your participation in the retreat,
(b) your presence at the venue or any retreat-related location,
(c) use of materials, tools, or equipment, and
(d) any act or omission of any Released Party, including negligence, except where prohibited by law.

9. Alcohol Responsibility (INITIAL REQUIRED)
Alcoholic beverages may be served or made available during certain retreat activities or meals. By participating, you acknowledge and agree to the following:

  • You are solely responsible for your decision to consume alcohol and for monitoring your own consumption.

  • You agree to consume alcohol responsibly and in moderation, and you will not operate a vehicle or engage in any activity that could endanger yourself or others while under the influence.

  • You assume all risks associated with the consumption of alcohol, including but not limited to injury, illness, or property damage.

  • The Company and its representatives reserve the right to limit or deny the service of alcohol to any participant at their sole discretion.

  • You agree to comply with all applicable laws regarding the legal drinking age and alcohol use at the retreat location.

  • The Company is not responsible for any consequences resulting from your consumption of alcohol, including any actions you take while under the influence.

10. Indemnification
You agree to defend, indemnify, and hold harmless the Released Parties from and against any claims, liabilities, damages, costs, and expenses (including reasonable attorney’s fees) arising from:

(a) your acts or omissions,
(b) your violation of retreat rules or venue policies, or
(c) your breach of this Agreement.

11. Property Responsibility
You are responsible for your own personal property. We are not responsible for loss, theft, or damage to your belongings.

12. Conduct & Removal
We reserve the right to remove any participant for disruptive, unsafe, harassing, or inappropriate behavior, or for violation of venue rules. If removed, you understand you may forfeit fees paid, subject to the cancellation policy below.

13. Photo/Video & Marketing Release (Optional—check one)

☐ YES — I grant permission for the Company to photograph/record me and use such media for marketing/promotional purposes without compensation.
☐ NO — I do not grant permission (I understand group photos may still capture me incidentally; the Company will use reasonable efforts to honor this choice).

14. Cancellation / Refund / Transfer Policy (INITIAL REQUIRED)

I understand and agree that:

  • All sales are final. No refunds will be issued for any reason, including but not limited to personal schedule conflicts, illness or injury, travel delays or cancellations, weather conditions, or change of mind.

  • If I am unable to attend, my spot may be transferred to another participant, provided that I notify Vine & Branch Art in writing and receive approval. The replacement participant must complete all required agreements and forms before attending.

  • This policy exists due to limited capacity, advance booking commitments, and pre-paid expenses.

You understand the Company is not responsible for third-party costs such as airfare, lodging booked independently, or transportation.

15. Force Majeure
We are not liable for delays, changes, or cancellation due to events beyond our control, including severe weather, venue closure, illness outbreak, governmental action, or emergencies.

16. Governing Law; Dispute Resolution; Venue
This Agreement will be governed by the laws of the State of Texas.  Any dispute will be brought in Williamson County, Texas, unless the parties agree to mediation first.

17. Severability; Entire Agreement
If any provision is unenforceable, the rest remains effective. This Agreement is the entire agreement between the parties concerning retreat participation.
